Terms of Service

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service. Your use of the Service constitutes your continuous acceptance of these Terms and any future updates.

SooqSense provides a cloud-based CRM and revenue intelligence platform. The Service includes integrations with third-party tools such as email providers (e.g., Gmail, Outlook), calendar applications, and audiovisual recording services (e.g., Recall.ai) to aggregate data, map stakeholders, and provide sales intelligence.

When you create an account with us, you must provide information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

You agree not to use the Service:

• In any way that violates any applicable national or international law or regulation.
• To exploit, harm, or attempt to exploit or harm minors in any way.
• To transmit, or procure the sending of, any "junk mail", "chain letter", "spam", or any other similar solicitation.
• To misuse, extract, or sell synced intelligence data outside the intended scope of CRM and revenue operations.

By connecting third-party services (like Google Workspace, Office 365, or meeting bots), you explicitly authorize SooqSense to access and process data from those services. Your use of these third-party integrations is also governed by the respective providers' Terms of Service and Privacy Policies. SooqSense is not responsible for the availability or accuracy of such third-party services.

Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis (such as monthly or annually). At the end of each period, your Subscription will automatically renew under the exact same conditions unless you cancel it or SooqSense cancels it.

The Service and its original content (excluding Content provided by you or your synced data), features, and functionality are and will remain the exclusive property of SooqSense and its licensors. You retain all of your ownership rights in your Customer Data. By using the Service, you grant us a worldwide, royalty-free license to use, reproduce, and process your Customer Data solely for the purpose of providing the Service to you.

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. SooqSense makes no representations or warranties of any kind, express or implied. In no event shall SooqSense, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or request account deletion.

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

You are solely responsible for any data, text, or materials you upload or integrate into the Service ("User Content"). You represent and warrant that you own or have the necessary licenses and permissions to use and share your User Content. SooqSense assumes no responsibility for the accuracy or legality of any User Content.

You agree to defend, indemnify, and hold harmless SooqSense and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the Service, or b) a breach of these Terms.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.

Any feedback, comments, or suggestions you may provide regarding SooqSense is entirely voluntary. We will be free to use such feedback, comments, or suggestions as we see fit and without any obligation or compensation to you.
